Japan Market Entry & Company Formation

Establish and Operate
Your Business in Japan

From selecting the right structure to running the business after launch, Kreston ProWorks coordinates the corporate, finance, employment and compliance requirements of entering Japan.

Company formation · KK / GK · Branches · Banking · Immigration · Licensing · Accounting · Tax · Payroll · HR

Establishing the Company Is Only the Beginning

The objective is not simply to receive a corporate registration certificate. You need a business that can operate.

That is why we approach market entry as an operational implementation project, not merely an incorporation.

A Japan organization must eventually be able to:

  • Receive funding
  • Maintain banking arrangements
  • Sign contracts
  • Employ people
  • Sponsor eligible visas
  • Pay employees
  • Pay suppliers
  • Maintain accounting records
  • Meet tax obligations
  • Complete labor and social-insurance procedures
  • Obtain required licenses
  • Report to overseas headquarters

Does This Sound Familiar?

You want to enter Japan, but do not know which structure is right

KK? GK? Branch? Representative office? MCS/EOR first?

Headquarters wants to move quickly

But capitalization, corporate documents, banking, immigration and employment requirements are interdependent.

You need employees before everything else is ready

The business opportunity cannot always wait for every element of the permanent infrastructure to be completed.

Nobody owns the complete implementation

One firm establishes the company, another handles visas, another tax and another payroll. Headquarters becomes the project manager.

You are concerned about building too much infrastructure too early

Japan requires proper compliance, but a new operation should not necessarily carry the same fixed-cost structure as a mature business.

You want a partner that can stay after establishment

The requirements change as the business grows from initial entry to an established operation.

Choose the Right Entry Model

Depending on the intended activities and timeline, the appropriate starting point may include:

REP

Representative Office

For limited preparatory and market-development activities where appropriate.

BRANCH

Japan Branch

A registered presence of the overseas company.

KK

Kabushiki Kaisha

The traditional Japanese joint-stock subsidiary structure.

GK

Godo Kaisha

A limited-liability company with a simpler governance structure.

EOR

MCS / Employer of Record

For situations where employees need to be deployed before the client's own Japan employing entity is operational. MCS / EOR

The best structure is not simply the easiest one to register. It is the structure that supports what the business actually plans to do next.

One Team Across the Implementation

The advantage of combining these workstreams is not simply convenience. It allows decisions made during establishment to reflect what will happen after launch. For example:

One team

affects

  • Banking
  • Tax
  • Governance
Capitalization

affects

  • Immigration
  • Operating requirements
Employment timing

Build Only What You Need - When You Need It

A company entering Japan does not necessarily need to replicate the full infrastructure of its overseas headquarters on day one. Kreston ProWorks can help build a right-sized operating model for the initial Japan business.

For example, an early-stage subsidiary may use:

  • Outsourced accounting
  • Outsourced payroll
  • Virtual or registered-office support
  • Part-time Controller support
  • External tax compliance
  • Outsourced HR administration
  • MCS/EOR during the transition period

As the operation grows, functions can then be expanded, transferred internally or supplemented with more senior resources.

The objective is to support growth without creating unnecessary fixed cost too early.

We Are Part of Your Team - and Part of Your Cost Base

We recognize that professional-services fees ultimately form part of the client's P&L.

Our role is therefore not to add services simply because they can be added. It is to determine:

  1. What must be done?
  2. What should be done?
  3. What can wait?
  4. What should be internal?
  5. What is more efficient to outsource?

We aim to find the right balance between:

  • Compliance
  • Operational need
  • Quality
  • Flexibility
  • Cost

This makes the relationship much more like an extended Japan business-support team than a collection of unrelated outsourced services.

At the same time, the operating model needs to be commercially sustainable so that we can maintain the people, expertise, controls and continuity our clients expect.

Employ Before Your Entity Is Ready

Where appropriate, our Managed Consultant Services / EOR solution can support eligible employees while the permanent Japan organization is being established.

This can allow a company to begin building its Japan team without waiting for every corporate workstream to be completed.

MCS / EOREligible employees start while the permanent Japan organization is being established.
Japan entityOnce the entity is operational, we can coordinate:
  • New employment agreements
  • Payroll transition
  • Social-insurance procedures
  • Immigration notifications
  • HR records
Direct employmentEmployee onboarding to the new employer.

Establish the Employment Environment - Not Only the Company

For the first Japan employees, we can help establish:

  • Employment agreements
  • Compensation structure
  • Benefits
  • Rules of Employment
  • HR policies
  • Social and labor insurance
  • My Number processes
  • Payroll
  • Attendance arrangements
  • Visa and immigration support
  • Onboarding procedures

These are frequently more important operationally than the incorporation itself.

Finance

Accounting and Reporting From Day One

The finance environment should also be considered before the company starts trading. We can establish:

  • Accounting processes
  • Chart-of-accounts structure
  • Monthly closing
  • Accounts payable
  • Payments
  • Treasury
  • Cash-flow reporting
  • Tax registrations
  • Payroll accounting
  • Group reporting

For international groups, recurring books and reporting can also be designed around IFRS, US GAAP or another group framework, with the required Japan statutory/tax treatment incorporated into the year-end compliance process. That reduces unnecessary conversion work and helps the new Japanese company fit into the parent's consolidation process from the beginning.

Systems

Use Your Global Systems Where Practical

A new Japan operation does not automatically require a completely separate technology environment. We are system agnostic and can work with major international and Japanese platforms.

Where global systems are retained, we design appropriate processes around:

  • Japan accounting requirements
  • Tax information
  • Supporting documentation
  • Electronic-record requirements
  • Payroll data
  • Group reporting
  • Japan-system conversion or supplementary records where required

This can allow the new Japan entity to fit into the group's wider technology architecture without ignoring local compliance requirements.

From Small Country Presence to Established Japan Operation

A typical relationship may begin small and develop with the business.

  1. 1-5employees

Outsourced accounting, payroll and corporate administration.

  2. 5-20employees

More formal HR processes, reporting, treasury and management support.

  3. 20+employees

Internal resources supplemented by specialist accounting, payroll, Controller, tax, HR and advisory services.

The outsourced model does not have to remain static.

It should evolve with the client's Japan business.

Frequently Asked Questions About Entering Japan

Can you support only the company establishment?

Yes. Services can be separately scoped. There is no requirement to outsource ongoing operations to Kreston ProWorks.

Can you also operate the back office after establishment?

Yes. Accounting, payroll, HR administration, tax, treasury and corporate administration can all be provided after launch.

Can we use an EOR first and establish a company later?

Where appropriate, yes. MCS/EOR can provide an interim employment structure before transitioning employees to the client's own entity.

Can we use our global accounting system in Japan?

Often yes. We review the system and Japanese compliance requirements and design the appropriate operating model around it.

Can our Japan books be prepared in IFRS or US GAAP?

Depending on the requirements, recurring management and consolidation books can be maintained or reported under IFRS, US GAAP or another group basis, with Japanese compliance adjustments handled separately as required.

Do we need to hire a local accountant immediately?

Not necessarily. Many new operations initially outsource accounting and finance functions and build internal capability as the business grows.

Can you provide a Controller or CFO instead of us hiring one?

Yes. Outsourced or on-demand Controller/CFO support can be incorporated into the operating model.

Can you help us keep initial operating costs controlled?

Yes. We can help determine which functions need to exist immediately, which can be outsourced efficiently and which can be introduced as the business develops.
